Definitions
- Agreement: This refers to the project proposal, contract, terms and conditions, and any additional documents that may be attached.
- Client Content: All materials provided by the client, including text, images, and other content intended for use in the creation of the deliverables.
- Deliverables: The work outlined in the project proposal and contract that will be delivered by RemoteGoDevs.com.
- Tools: All tools, resources, and technologies used or developed by RemoteGoDevs.com during the project, including software, fonts, web development tools, source code, design elements, and other intellectual property, whether patentable or not.
- Final Deliverables: The completed version of the deliverables provided by RemoteGoDevs.com and accepted by the client.
- Project: The scope, objectives, and purpose of the work to be undertaken, as defined in the project proposal.
- Services: The full range of services and work provided by RemoteGoDevs.com, as detailed in the project documentation.
- Third-Party Materials: Proprietary materials from external sources, such as stock images, illustrations, or other third-party assets, that are incorporated into the project.
Development Services
RemoteGoDevs.com commits to providing development services in alignment with the agreed work plan and scheduled milestones.
Proposal / Scope of Work
The terms of any agreement remain valid for 30 days from the date of receipt. Following this period, RemoteGoDevs.com may revise and resubmit the agreement for approval.
Compensation
- Additional Costs: The quoted price only covers development work. Third-party costs, such as licensing or hosting fees, will be billed separately.
- Expenses: Any out-of-pocket expenses will be charged at actual cost.
- Fees: The client agrees to pay all listed fees, inclusive of any relevant taxes.
Payment Terms
- Invoices: Payments are due within 5 (five) days of receiving the invoice, unless otherwise agreed upon. Any additional expenses or charges will be clearly itemized.
- Payment Schedule: Payments should align with the milestones outlined in the project proposal and the associated timelines.
Modifications to Project Scope
- Change Requests: Any changes to the project scope must be submitted in writing. A detailed response, including updated costs and timelines, will be provided within five business days.
- Minor Changes: Adjustments considered minor will be billed at our standard hourly rates, in addition to the fees outlined in the original agreement.
- Major Changes: Changes that impact the project budget or timeline by 20% or more will require a revised proposal for client approval before work can continue.
Project Delays
- Client Delays: Clients should make every effort to provide necessary approvals, materials, and information promptly. Any delays caused by the client will lead to a “day-for-day” extension of the following milestones.
- RemoteGoDevs.com Delays: RemoteGoDevs.com will strive to meet all scheduled milestones. In case of any delays, clients will be promptly notified via email.
- Force Majeure Delays: Delays caused by uncontrollable circumstances—such as natural disasters, power outages, labor disputes, acts of government, wars, terrorism, epidemics, or other unforeseen events—will not be considered a breach of the agreement. These delays will result in an appropriate “day-for-day” extension for subsequent milestones.
Evaluation and Acceptance
- Quality Assurance: All deliverables will be thoroughly tested to meet industry standards before they are delivered to the client.
- Review and Approval: The client will have 7 business days to review each milestone and confirm approval. Any revisions required should be submitted in writing and will be incorporated within 14 business days.
Client Responsibilities
The client agrees to:
- Provide all necessary content in the specified format.
- Proofread and verify materials, with additional charges applied for any corrections.
Make timely decisions regarding approvals from third parties.
Accreditation and Promotion
- Credit: RemoteGoDevs.com retains the right to include a credit hyperlink in the final deliverables unless otherwise specified in the agreement.
- Promotion: RemoteGoDevs.com may feature completed work in its portfolio and marketing materials.
- Acknowledgment: Both parties are allowed to publicly share details about their involvement in the project, with mutual consent.
Confidential Information
Both parties commit to preserving the confidentiality of any proprietary information exchanged throughout the course of the project. These confidentiality obligations do not extend to information that is publicly available or legally obtained from third parties.
Business Relationships
- Third-Party Contractors: RemoteGoDevs.com may engage subcontractors to fulfill certain aspects of the project, while maintaining full responsibility for the contractual terms and deliverables.
- Non-Exclusivity: Both parties are free to engage with other entities that offer similar services, as no exclusive arrangement exists between them.
- Independent Contractor Status: RemoteGoDevs.com operates strictly as an independent contractor. We are not an employee, partner, or agent of the client and maintain complete autonomy over how services are provided.
Liability
The maximum liability of RemoteGoDevs.com is limited to the total amount paid by the client for the services provided. All services are delivered ‘as is,’ and RemoteGoDevs.com will not be held liable for any indirect or consequential damages.
Intellectual Property & Usage Rights
The client is granted a non-exclusive, perpetual license to utilize the final deliverables. Any modifications or derivative works must receive prior written approval from RemoteGoDevs.com
Support Services
Standard post-delivery support is included, with additional assistance available at our regular hourly rates. Please note, any third-party modifications will invalidate the warranty for technical support.
Modifications to Terms
At RemoteGoDevs.com, we may update these terms periodically. By continuing to use our services, you acknowledge and accept any changes made.
